Veya Terms of Service

These terms govern your use of Veya, a desktop application published by Sozenta, Inc. They are written to be read. If something here is unclear, ask us rather than guessing — brijesh@sozenta.ai.

1. Agreement

By installing or using Veya you agree to these terms. If you are agreeing on behalf of an organisation, you confirm you have the authority to bind it. If you do not agree, do not use Veya.

2. What Veya is

Veya is a desktop workspace that runs on your own computer. It stores your work on your disk, connects to services you choose to connect, and can use AI models you configure — including models running entirely on your own hardware.

Veya is software you run, not a service we operate on your behalf. Sozenta separately offers Vera, an optional AI gateway; where you use a Sozenta-hosted Vera instance, these terms cover that use too.

3. Your account and your connections

Veya can connect to third-party accounts you own — Google, Microsoft, and others. You are responsible for having the right to connect those accounts and for complying with their terms. Connecting an account grants Veya access on your behalf; you can withdraw it at any time from within Veya or from the provider's own permissions page.

Keep your device secure. Because Veya stores data locally, anyone with access to your unlocked computer has access to what Veya holds.

4. Your content is yours

You retain all rights to the documents, mail, calendar entries and other content you create or connect. Sozenta claims no ownership of it and no licence to it beyond what is technically required to provide a feature you have invoked. We do not use your content to train AI models. 5. Acceptable use

Where you use a Sozenta-hosted service, we may apply rate limits and may suspend access that is causing harm or cost. Where we can do so safely, we will tell you why.

6. AI output

Veya can produce text, code, summaries, images and other content using AI models. AI output can be wrong, and sometimes convincingly so. It may misstate facts, misread a document, or produce content that infringes someone's rights. You are responsible for reviewing output before you rely on it, send it, publish it or act on it — particularly for anything with legal, financial, medical or safety consequences.

Veya is a tool for a competent operator. It is not a substitute for professional advice.

7. Third-party services

When you connect Google, Microsoft, an AI provider or any other service, your use of that service is governed by that provider's own terms and privacy policy. Sozenta is not responsible for third-party services, their availability, their pricing, or what they do with data you send them through a connection you configured. Veya always identifies which provider a request is going to.

8. Beta and pre-release software

Parts of Veya may be marked beta, preview or experimental. Such features may change, break or be withdrawn, and may have defects that ordinary testing has not found. Keep independent backups of anything you cannot afford to lose. This is a statement of fact, not a disclaimer we hide behind: if a Veya defect loses your data, tell us and we will treat it seriously.

9. Fees

Where a paid plan applies, its price and billing terms are stated at the point of purchase. Third-party model usage you configure is billed by that provider, not by us, unless we have expressly agreed otherwise in writing.

10. Intellectual property

Veya, Vera, Trevi, the Sozenta name and the associated logos are the property of Sozenta, Inc. These terms grant you a personal, non-exclusive, non-transferable, revocable licence to use Veya as published. You may not resell, sublicense, reverse-engineer or attempt to derive source code from Veya, except where that restriction is unenforceable under the law that applies to you.

11. Termination

You may stop using Veya at any time; uninstalling ends this agreement. We may suspend or terminate access to Sozenta-hosted services for material breach of these terms, for legal reasons, or where continued access poses a security risk. Sections 4, 6, 10, 12, 13 and 14 survive termination.

12. Warranty disclaimer

Veya is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that Veya will be uninterrupted, error-free, or that it will meet your requirements. Some jurisdictions do not allow these exclusions, in which case they apply to the fullest extent permitted.

13. Limitation of liability

To the fullest extent permitted by law, Sozenta, Inc. is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of your use of Veya. Our total aggregate liability arising out of these terms is limited to the greater of the amount you paid Sozenta in the twelve months before the claim, or one hundred United States dollars.

Nothing in these terms limits liability that cannot lawfully be limited, including for fraud, or for death or personal injury caused by negligence.

14. Indemnity

You agree to indemnify Sozenta against third-party claims arising from your unlawful use of Veya, your breach of these terms, or content you generate, send or publish using it.

15. Governing law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws rules. The courts of Delaware have exclusive jurisdiction, except where mandatory consumer-protection law in your country of residence gives you the right to bring proceedings locally.

16. Changes

We may update these terms. Material changes will be reflected in the date above and noted in the Veya release notes. Continued use after a change means you accept the revised terms.
